1. Introduction & Acceptance of Terms

Welcome to ReviveAI (the "Service", "Software", or "Platform"), owned and operated under parent company talkfeels (Brand: ReviveAI), with registered operating address at Uniworld 2, Electronic City, Bengaluru 560100, Karnataka, India.

By accessing our website (revive-os.me), downloading our desktop client, purchasing a lifetime subscription, or utilizing our APIs, you ("User", "Licensee", or "Customer") agree to be legally bound by these Terms and Conditions ("Terms"), our Privacy Policy, Refund Policy, and Shipping Policy. If you do not agree to these Terms, please do not use the Platform.

2. Description of Service & License Grant

ReviveAI provides an autonomous AI copilot client for macOS and Windows, featuring hardware-level window exclusion (undetectable stealth technology), local voice-to-text processing, real-time code assistance, meeting summaries, and an accompanying cloud API service.

Upon receipt of payment for the $9.99 Lifetime Access Pass:

• We grant you a personal, non-exclusive, non-transferable, perpetual worldwide license to install and execute the ReviveAI desktop application on up to three (3) personal computing devices owned by you.
• We provide a perpetual API key for querying the ReviveAI neural engine, subject to fair-use rate limits (60 requests per minute).
• You receive lifetime access to future minor and major client updates and patches without recurring fees.

3. Eligibility & User Accounts

You must be at least 18 years of age, or possess legal parental or guardian consent, to enter into this contract. You agree to provide accurate, truthful, and complete email information during checkout for the delivery and management of your license key.

4. Pricing, Payments & Secure Processing (Razorpay)

All fees are stated in United States Dollars ($USD) or local equivalent currency.

• Non-Recurring Billing: The $9.99 Founder Pass is a strictly one-time payment. There are no recurring auto-debits, seat licensing surcharges, or hidden maintenance fees.
• Taxes: Prices may be subject to applicable Goods and Services Tax (GST), Value Added Tax (VAT), or local sales tax as mandated by the purchaser's jurisdiction.

5. No-Refund Policy & Lifetime Support Guarantee

Due to the immediate digital delivery and irrevocable generation of perpetual API keys, all purchases of ReviveAI licenses are final and non-refundable once the transaction is completed and the license key is delivered, as detailed in our No-Refund & Cancellation Policy.

In place of refunds, every customer is provided 100% Lifetime Technical Support and Free Key Re-dispatch. If you lose your license key or need setup assistance, you may submit a request via our Contact Us page or email support@revive-os.me and we will re-send your API key within minutes. In the rare case of accidental duplicate billing, the duplicate amount is refunded within 5 to 7 business working days.

6. Acceptable Use Policy & Restrictions

You agree not to misuse ReviveAI services. You shall NOT:

• Reverse engineer, decompile, disassemble, or derive the source code of the binary software.
• Sublicense, lease, rent, redistribute, or resell the software or generated API keys to third parties.
• Use the software to infringe upon intellectual property, violate recording consent laws in jurisdictions where two-party consent is legally mandated without providing notification, or conduct malicious cyber actions.
• Bypass rate limits, conduct denial-of-service (DoS) attacks, or disrupt the ReviveAI inference cluster.

7. Intellectual Property Rights

All intellectual property rights, trademarks, patents, algorithms, designs, documentation, and source code of ReviveAI remain the sole and exclusive property of TalkFeels. Your purchase conveys an end-user license, not an assignment of intellectual property.

8. Disclaimer of Warranties

The software and API services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted or error-free execution.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall TalkFeels, its directors, officers, employees, or partners be liable for any indirect, incidental, punitive, or consequential damages arising from the use of or inability to use the software. In all circumstances, our cumulative aggregate liability shall not exceed the amount actually paid by you ($9.99 USD).

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts situated in Chittorgarh / Rajasthan, India.
